Implementation

On February 6th, 2014, the Fonds de solidarité FTQ announced a major reform of its governance and the adoption best business practices.

The following measures have already been implemented.

Nomination of Robert Parizeau as member of the Board (February 2014) and its first Chair, independent of the Fonds, the FTQ and its affiliated unions (May 2014)

Creation of the Governance and Ethics Committee, chaired by Mr. Parizeau (February 2014).

  • The Governance and Ethics Committee, made up of a majority of members independent of the Fonds, the FTQ and its affiliated unions, will report to the Board of Directors.
  • Its mandate is namely to guide and support the implementation of the Fonds’ governance reforms, according to the guidelines set out by the Board of Directors.

The members of the committee are:

 -

Robert Parizeau, committee Chair and President of the Board; 

 - Daniel Boyer, First Vice-Chair and President of the FTQ;
 - Serge Cadieux, Secretary of the Board and Secretary General of the FTQ;
 - Christine Beaubien, independent member of the Board;
 - Denis Labrèche, independent member of the Board; and
 - Pierre-Maurice Vachon, independent member of the Board.

 

Creation of the Human Resources Committee, (April 2014)

  • The human Resources Committee, made up of a majority of members independent of the Fonds, the FTQ and its affiliated unions, reports to the Board of Directors.

 

  • The Committee will examine the compensation package of the Fonds’ CEO and management team as well as review and oversee succession planning.

The members of the committee are:

 - Robert Parizeau, committee Co-Chair and Chair of the Board;
 - Daniel Boyer, committee Co-Chair;
 -

Serge Cadieux, Secretary of the Board and Secretary General of the FTQ;

 

 - Michelle Colpron, independent member of the Board; and
 - Pierre-Maurice Vachon, independent member of the Board.

Setting up of an external ethics hotline (April 2014).
